1. Parties to this agreement

This Vendor Agreement ("Agreement") is between Aayojan Technologies Pvt. Ltd. ("Aayojan", "Platform"), registered in Bengaluru, Karnataka, India, and the service provider ("Vendor", "you") who has applied and been approved to list their business on aayojanapp.com.

By completing the vendor registration process and having your profile approved and published, you confirm that you have read, understood and agreed to the terms of this Agreement. This Agreement forms part of Aayojan's Terms of Use and should be read alongside them.

If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to this Agreement.

2. Vendor eligibility

To be listed and remain listed on Aayojan, you must: (a) be operating as a legitimate service business — registered, sole proprietorship, partnership or private limited company — in India; (b) offer one or more of Aayojan's supported service categories for weddings and events; (c) provide accurate and verifiable identity and business information; (d) maintain the ability to fulfil confirmed bookings in your stated service area; and (e) comply with all applicable Indian laws including local business regulations, GST requirements (where applicable), and consumer protection laws.

Aayojan reserves the right to reject any application or revoke vendor approval at its discretion, including for reasons of profile quality, service category fit, geographic limitations or conduct concerns.

3. Profile and content standards

Your business profile on Aayojan must accurately represent your services, location, portfolio and pricing. You must not: (a) use stock photographs or other businesses' work as your own portfolio; (b) misrepresent your service category, capability or location; (c) list packages or prices that you are not prepared to honour; (d) use false testimonials or inflated ratings.

You are responsible for keeping your profile up to date — including service areas, availability, package details and contact information. Aayojan may suspend profiles that have not been updated for 90+ days or that contain demonstrably inaccurate information.

By uploading content to the platform, you grant Aayojan a non-exclusive, royalty-free licence to display your photos, business name, location and category information on the platform and in promotional materials related to Aayojan.

4. Booking obligations

When a customer confirms a booking with you through the platform by paying an advance, you are obligated to: (a) honour the confirmed booking on the agreed date, venue and scope; (b) deliver the service as described in your published packages or as otherwise confirmed in writing with the customer; (c) communicate promptly with the customer regarding any changes, logistics or requirements; and (d) comply with all safety, legal and professional standards applicable to your service category.

If you are unable to fulfil a confirmed booking for any reason, you must notify both the customer and Aayojan at [email protected] as early as possible. Aayojan may withhold or reverse advance payments in cases of confirmed vendor non-fulfilment.

Repeated booking cancellations or failure to fulfil confirmed bookings will result in suspension or permanent removal from the platform.

5. Commission and platform fees

Aayojan charges a platform commission on advance payments collected from customers on your behalf. Commission rates by category are:

Commission is calculated on the advance amount collected and deducted before payout. Additional Razorpay payment gateway charges (typically 2%) apply on the transaction amount. These are borne by the platform and not additionally charged to the vendor.

Premium listing plan fees (Growth: ₹999/month, Premium: ₹2,499/month) are optional and charged separately via subscription. These fees are non-refundable once a billing period has commenced.

Aayojan reserves the right to revise commission rates with 30 days' written notice to active vendors.

6. Payout process and timeline

After a customer pays an advance and the booking is confirmed, Aayojan will initiate a payout of the net amount (advance minus platform commission) to your registered bank account within 3–5 working days.

To receive payouts, you must provide: a valid Indian bank account in the name of the business or proprietor, IFSC code, account number and PAN details as required by RBI regulations.

Payouts may be withheld in the following circumstances: (a) your bank account details are incomplete or invalid; (b) the booking is under dispute; (c) your account has been suspended pending investigation; or (d) required KYC/tax documentation has not been submitted.

Aayojan is not liable for delays caused by your bank or payment processing networks.

7. Customer data and privacy

When customers contact you through the platform, Aayojan shares their name, phone number, email and event requirements with you for the sole purpose of responding to their enquiry or delivering the booked service.

You must not: (a) use customer contact information for unsolicited marketing unrelated to their specific enquiry; (b) share customer data with third parties; (c) store customer data beyond the period reasonably necessary to deliver the service; or (d) contact customers through channels other than those established through the platform without their explicit consent.

Violation of customer data obligations may result in immediate suspension and referral to appropriate regulatory authorities.

8. Vendor conduct and prohibited activities

As a vendor on the Aayojan platform, you must conduct yourself professionally in all interactions with customers and Aayojan staff. The following are prohibited: (a) misleading customers about pricing, scope or availability; (b) soliciting payments outside the platform from customers who were introduced through Aayojan with the intent to circumvent platform fees; (c) offering or accepting bribes for positive reviews; (d) making false complaints against competing vendors; (e) harassing or threatening customers or Aayojan staff; and (f) any activity that violates applicable Indian law.

Violations may result in immediate account suspension, withholding of pending payouts, and legal action where appropriate.

9. Reviews and ratings

Customer reviews on your profile are based on genuine booking experiences. You may not: (a) offer incentives (discounts, gifts, cash) in exchange for positive reviews; (b) intimidate or pressure customers to change or remove negative reviews; or (c) submit fake reviews through multiple accounts.

You may respond to customer reviews through the platform's response feature. Aayojan may remove reviews that violate its review policy. You may flag a review for investigation by contacting [email protected].

10. Disputes and resolution

If a customer raises a dispute about service quality, non-delivery or payment, Aayojan will notify you and request your response within 5 working days. Both parties will be given the opportunity to present their case.

Aayojan's support team will review the evidence and issue a non-binding recommendation within 10 working days. Where the dispute involves an advance payment, Aayojan may withhold the payout pending resolution.

If Aayojan determines that you have materially failed to deliver the agreed service, Aayojan may initiate a full or partial refund to the customer from the withheld advance amount.

This dispute process does not affect either party's right to pursue legal remedies in courts of competent jurisdiction in Bengaluru, Karnataka, India.

11. Suspension and termination

Aayojan may suspend or terminate your vendor account for: (a) violation of this Agreement or the platform's Terms of Use; (b) repeated booking cancellations or non-fulfilment; (c) sustained negative reviews indicating systemic service quality issues; (d) fraudulent, abusive or illegal conduct; or (e) failure to maintain eligibility requirements.

Where possible, Aayojan will notify you of the reason for suspension and give you an opportunity to remedy the issue before termination. In cases of serious misconduct, immediate suspension without notice may be applied.

Upon termination, all pending payouts for fulfilled bookings will be processed. Payouts for disputed or unfulfilled bookings will be resolved per Section 10.

12. Agreement updates and contact

Aayojan may update this Vendor Agreement with 30 days' notice to active vendors. Continued use of the platform after the effective date of updates constitutes acceptance of the revised terms.
